When you use 22seven, this is what you agree to. We know it’s legal stuff,
but please read it. We’d like you to understand it.

Terms of Service

  1. INTRODUCTION

    1.1 These Terms (“Terms”) govern your access to and use of our website at www.22seven.com (“Website”) and our mobile application (“Mobile Application”) (collectively referred to as “Service Channels”). By accessing or using the Service Channels, you agree to comply with these Terms, along with our Privacy Policy. Please read them carefully, as they affect your legal rights and obligations. If you do not agree with any part of these Terms, you must immediately discontinue the use of the Service Channels.

  2. DEFINITIONS

    2.1 For the purposes of these Terms:

    “Personal Information”: means information relating to an identifiable, living, natural person, and where it is applicable, an identifiable, existing juristic person, including, but not limited to
    2.1.1. “22seven,” “we,” “us,” “our”: means 22seven (Pty) Ltd (Registration number 2023/181742/07), trading as 22seven a subsidiary of Vault22 Solutions Holdings Ltd (Registration number 8385), which operates as a reseller of the Vault22 platform on the terms and conditions set out in these Terms and the Privacy Policy.
    2.1.2. “Vault22” means Vault22 Solutions Holdings Limited domiciled in Dubai having business registration number 8385.
    2.1.3. “Applicable Law” means any statute, law, ordinance, regulation, rule, code, directive, judgement, decree, treaty, or any other requirement or rule of any international, national, federal, state, provincial, or local government authority, agency, court, or other governmental body having jurisdiction, as may be in force from time to time, and that is applicable to the performance of the obligations under these Terms or the use of the Services.
    2.1.4. “Content”: means any information, data, materials, or other content you provide through the Service Channels.
    2.1.5. “Intellectual Property Rights” means: (a) any and all intellectual or industrial property rights existing under any Laws anywhere in the world, whether registered or unregistered, including patents, utility model rights, rights in layout-designs (topographies) of integrated circuits, rights in trade secrets, rights in confidential information and know-how, design rights, copyrights (including rights in software), neighbouring rights, database rights or other rights in compilations of data, and any and all rights of a similar nature; and (b) all applications and rights to apply for any of such aforementioned intellectual or industrial property rights, including registrations, renewals and extensions, anywhere in the world.
    2.1.6. “Login Details”: means the email address, password, and any other security information you provide to access the Service Channels.
    2.1.7. “Personal Information”: means information relating to an identifiable, living, natural person, and where it is applicable, an identifiable, existing juristic person, including, but not limited to:
    2.1.7.1. information relating to the race, gender, sex, pregnancy, marital status, national, ethnic or social origin, colour, sexual orientation, age, physical or mental health, well-being, disability, religion, conscience, belief, culture, language and birth of the person;
    2.1.7.2. information relating to the education or the medical, financial, criminal or employment history of the person;
    2.1.7.3. any identifying number, symbol, e-mail address, physical address, telephone number, location information, online identifier or other particular assignment to the person;
    2.1.7.4. the biometric information of the person;
    2.1.7.5. the personal opinions, views or preferences of the person;
    2.1.7.6. correspondence sent by the person that is implicitly or explicitly of a private or confidential nature or further correspondence that would reveal the contents of the original correspondence;
    2.1.7.7. the views or opinions of another individual about the person; and
    2.1.7.8. the name of the person if it appears with other personal information relating to the person or if the disclosure of the name itself would reveal information about the person.
    2.1.8. “Subscription Fee”: means any fee that may be charged by 22seven for using the Service, as applicable from time to time.
    2.1.9. “Third Party Service Providers”: means our third-party providers whose services you access or use through our Service Channels.
    2.1.10. “User,” “you,” “your”: means any person accessing or using the Service Channels.

  3. ACCEPTANCE OF TERMS

    By accessing or using the Service Channels, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. Each time you use the Service Channels, you reaffirm your acceptance of the Terms. If you do not agree to these Terms, you must discontinue your use of the Service Channels immediately.

  4. CHANGES TO THE TERMS

    22seven reserves the right to modify, update, or change these Terms from time to time at our sole discretion. We will post the amended Terms on the Service Channels, and the "Last Updated" date at the top of these Terms will reflect the date of the latest changes. It is your responsibility to regularly review these Terms to stay informed of any changes. By continuing to access or use the Service Channels after any changes are made, you agree to be bound by the revised Terms. If you do not agree with the changes, you must discontinue your use of the Service Channels immediately.

  5. THE SERVICE PROVIDED BY 22SEVEN

    5.1. The service 22seven provides is a personal information service (which includes segmentation, profiling, targeting of product, services, including the sale and provision of financial products) that allows you to consolidate, visualise and analyse your financial and other related information to help you manage your overall financial well being 22seven may also provide you with contextual and personalized product offers from 3rd party financial service providers, that requires you to share your financial and other related information with vetted 3rd party providers available through the platform (the “Service”).

    5.2. The Service does not include any tax or legal consultancy services Currently 22seven is not a registered Financial Service Provider ("FSP") under the Financial Sector Regulation Act (”FSR") or the Financial Advisory and Intermediary Services Act ("FAIS") and does not provide any credit-related services, such as those of a credit provider, credit bureau, or credit reseller as defined under the National Credit Act ("NCA"). 22seven does not assume any responsibility for the accuracy, completeness, or suitability of any information or materials provided in connection with the Service. Any reliance on such information is solely at your risk.

    5.3. You acknowledge and agree that you are solely responsible for obtaining independent professional advice in relation to your tax, legal, financial, or regulatory matters and ensuring compliance with any Applicable Laws and regulations, including but not limited to the FSR, FAIS, and NCA. 22seven shall not be liable for any loss, damage, or liability arising from the use of or reliance on the Service or any information provided therein.

  6. YOUR ACCOUNT

    6.1 Registration Requirements

    To access the Service, you must register by providing accurate, current, and complete information as prompted by the registration form on the Service Channels. This includes your name, surname, email address and a secure password. Where you have already registered, we may require you to provide additional information such as your authenticated mobile number in order to provide and maintain security of your account.

    6.2 Account Security

    6.2.1. You are responsible for maintaining the confidentiality of your Login Details and any activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. 22seven will not be liable for any loss or damage arising from your failure to comply with this section.
    6.2.2. To ensure security, you agree to take all necessary steps to prevent unauthorised access to your account including but not limited to:
    6.2.2.1. use a strong password and change it regularly;
    6.2.2.2. log out of your account at the end of each session; and
    6.2.2.3. implement security measures on your device to protect against unauthorized access.
    6.2.3. Upon receiving your notification, we will use reasonable efforts to block access to your account. However, we do not guarantee that access will be blocked immediately. We will not be liable for any loss or damage resulting from unauthorized access occurring before or after we receive your notification. We will inform you if we detect any actual or suspected unauthorized access to your account, but we do not assume any responsibility for monitoring unauthorized access.
    6.2.4. We may assume that all electronic communications which reasonably appear to originate from you or a person you have told us is authorised to act on your behalf are in fact from you and the form in which we receive the communication is the same as when it was first sent.
    6.2.5. You agree that 22seven is not liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or use, arising out of or related to unauthorized access to your account, even if we have been advised of the possibility of such damages.

  7. FEES, PAYMENT, AND REFUNDS

    7.1 Service Fees

    Currently, the Service is provided free of charge. However, 22seven reserves the right to introduce a Subscription Fee in the future. If a Subscription Fee is introduced, you will be notified in advance and given the option to accept the new fee or terminate your use of the Service.

    7.2 Payment Methods

    If fees are introduced, payments can be made using commercially accepted payment methods, such as credit cards, debit orders, or other methods as set out on the Service Channels.

  8. PRIVACY AND DATA PROTECTION

    8.1. Your privacy is important to us. We are committed to safeguarding your Personal Information and will only use it as outlined in our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of your Personal Information in accordance with our Privacy Policy. For detailed information on how we handle your Personal Information, including its collection, use, processing, and destruction, please review our Privacy Policy.

    8.2.
    You are responsible for ensuring that all information you provide to us, including Personal Information and Security Credentials, is accurate, current, and complete at all times. If any of your information changes, you must promptly update it.

    8.3. You warrant that you have the necessary authority to provide us with the Personal Information and Security Credentials you submit.

    8.4. By using the Service, you grant us and our Third Party Service Providers the right to use any information, data, materials, or other content that you provide through or to the Service, solely for the purpose of delivering the Service to you.

    8.5. You consent to your Personal Information being transferred cross-border so that we can render the Service to you. We will ensure that all such authorized service providers have security and privacy policies and procedures providing at least the same level of protection as our Terms.

  9. THIRTY PARTY SERVICE PROVIDERS

    9.1. You authorize us to share your data with our Third Party Service Providers and other authorised third party partners for purposes necessary to provide, improve, and personalize the Service, or as otherwise required by Applicable Law. We may engage Third Party Service Providers to perform various functions, such as data analysis, customer support, marketing, and other services that are integral to the operation and enhancement of the Service.

    9.2. You authorise us and our Third Party Service Providers as your agents to store and use your User IDs, PINs, passwords and any other authentication information as may be necessary (“Security Credentials”) to automatically and electronically collect your balances, transactions (“Account Information”), necessary to provide the service to you, from websites and systems on your
    behalf. We will do so ONLY to the extent necessary to provide the Service to you and always in accordance with our Privacy Policy.

    9.3. To provide our Services, we may engage Third-Party Service Providers who offer various functionalities, data processing, or other related services. By using our Services, you acknowledge and agree that the terms, conditions, and policies of these Third-Party Service Providers will apply to you as if they were directly provided by us. These third-party terms, including but not limited to, their privacy policies, usage restrictions, and other obligations, will flow through and bind you to the extent necessary for you to receive the Services.

    9.4. While we take reasonable steps to ensure that any Third Party Service Provider or any other third party we engage adhere to appropriate data security and privacy standards, we do not control these third parties and cannot guarantee the security of your data once shared with them. Accordingly, 22seven will not be liable for any loss, damage, or unauthorized access to your data resulting from a breach or negligence by any Third Party.

  10. USER CONDUCT AND OBLIGATIONS

    10.1. You agree to use the Service Channels responsibly and comply with all applicable laws and regulations. You may not:
    10.1.1. use any automated means (such as bots, spiders, or scrapers) to access or monitor the Service Channels;
    10.1.2. transmit any harmful code, including viruses or malware;
    10.1.3. attempt to gain unauthorized access to any part of the Service Channels;
    10.1.4. modify, adapt, decipher, decompile, disassemble, create derivative works or reverse engineer any software or code related to the Service Channels; and/or
    10.1.5. post or transmit any unlawful, defamatory, abusive, indecent, threatening, harmful, obscene, racially offensive, or pornographic material.

  11. DISCLAIMER

    11.1. Your use of our Service Channels is at your sole risk. Our Service Channels is provided on an “as is” and “as available” basis. We disclaim all warranties and representations (express or implied, oral or written) with respect to our Service Channels, whether alleged to arise by operation of law, by reason of custom or usage in the trade, by course of dealing or otherwise, including any warranties of merchantability, fitness for any purpose, non-infringement, and condition of title.

    11.2. To the extent permitted by applicable Law:
    11.1.1. we do not warrant, and we disclaim all liability for (a) the completeness, accuracy, availability, timeliness, security, or reliability of our Service Channels (including any information or content made available via our Service Channels); (b) any harm to your computer system, loss of data, or other harm that results from your access to or use of our Service Channels; (c) the deletion of, or the failure to store or transmit, any Feedback maintained by our Service Channels; and (d) whether our Service Channels meets your requirements or is available on an uninterrupted, secure, or error-free basis; and
    11.1.2. we will not be liable to you or any third party for any incidental, special, indirect, consequential, exemplary, or punitive damages whatsoever, arising out of or related to these Website Terms or our Service Channels (including any information and content made available via our Service Channels), however caused, regardless of the theory of liability (contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability, or other theory), even if we have been advised of the possibility of such damages.

  12. COMMUNICATIONS

    We may send alerts, notifications, and other communications to you via email, SMS, or other electronic means. You consent to receive communications from us in this manner. You can manage your communication preferences through the Service Channels by opting out.

  13. INTELLECTUAL PROPERTY RIGHTS

    13.1. Ownership of Content

    All intellectual property rights, including but not limited to trademarks, service marks, logos, and copyrighted materials on the Service Channels, are owned or licensed by 22seven. You may not reproduce, distribute, or create derivative works of any content without express written permission from 22seven.

    13.2. User-Generated Content

    By submitting Content to the Service Channels, you grant 22seven a non-exclusive, royalty-free, perpetual license to use, reproduce, create derivative works and/or display such Content for the purpose of providing the Service.

  14. LIMITATION OF LIABILITY

    14.1. To the maximum extent permitted by law, 22seven and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service Channels. This includes, but is not limited to, loss of profits, data, goodwill, or any other intangible losses, even if we have been advised of the possibility of such damages.

    14.2. 22seven will not be liable for any loss or damage caused in whole or part by:
    14.2.1. your actions or omissions;
    14.2.3. your use of or reliance on the Service or any information provided through the Service;
    14.2.4. unauthorized access or use of your account or information;any errors or omissions in the Service or the information provided; and
    14.2.5. the termination of your use of the Service due to a breach of these Terms

    14.3. In no event will 22seven’s aggregate liability for losses that constitute direct damages exceed R5000.00 (five thousand rand).

  15. INDEMNIFICATION

    You agree to indemnify, defend, and hold harmless 22seven, its affiliates, partners, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service Channels, your violation of these Terms, or any third-party claims related to your use of the Service and/or any losses suffered due to breach of Applicable Law.

  16. MODIFICATION OF SERVICES FOR LEGAL COMPLIANCE

    22seven reserves the right to immediately modify, suspend, or discontinue any part of the Services without prior notice to you if such action is necessary to comply with any Applicable Law, regulation, legal requirement, governmental request or in order to avoid third party Intellectual Property claim. You acknowledge and agree that 22seven shall not be liable for any loss or inconvenience caused by such modifications or discontinuation of the Services for compliance purposes.

  17. TERMINATION

    17.1 Termination by You

    You may terminate your use of the Service at any time by following the termination process on the Service Channels. Upon termination, you will no longer have access to the Service, and all your rights under these Terms will immediately cease.

    17.2. Termination by 22seven

    17.2.1. 22seven may terminate or suspend your access either partly or fully to the Service Channels at any time, with or without cause or notice, for any violation of these Terms or Applicable Laws. Upon termination, we may:
    17.2.1.1. close your account and deactivate your Login Details; and
    17.2.1.2. remove your information from our records, except where we are required by law to retain such information.

  18. BREACH OF TERMS

    Should either party (the "Defaulting Party") breach these Terms and fail to remedy the breach within fourteen days of receiving written notice from the other party (the "Aggrieved Party"), the Aggrieved Party may, without prejudice to its other rights in law, terminate the Service or claim specific performance of all of the Defaulting Party's obligations.

  19. GOVERNING LAW AND DISPUTE RESOLUTION

    These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from or relating to these Terms shall be resolved in the courts of South Africa

  21. FORCE MAJEURE

    21.1 If events or circumstances beyond our reasonable control ("Force Majeure") prevent either of us ("Affected Party") from fulfilling any of our obligations, those obligations will be suspended to the extent that and for as long as the Affected Party is so prevented.

    21.2 22seven shall not be liable for any failure to perform its obligations under these Terms if such failure is caused by events or conditions beyond our reasonable control.

  22. GENERAL PROVISIONS

    22.1 Entire Agreement: These Terms constitute the entire agreement between you and 22seven regarding your use of the Service Channels and supersede any prior agreements.

    22.2. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

    22.3. Assignment: 22seven may assign or transfer its rights and obligations under these Terms without your consent.

    22.4. Privacy Policy: These Terms must be read together with our Privacy Policy, which governs the collection, use, and protection of your Personal Information when you use our Service Channels and Services. By agreeing to these Terms, you also agree to the terms outlined in our Privacy Policy. In the event of any conflict between these Terms and the Privacy Policy, the specific provisions of the Privacy Policy will prevail with respect to the handling of Personal Information.

    22.5. Support: Should you require any support related to the Service Channels please contact  our support team between 09:00 to 17:00 SAST Monday to Friday (excluding public holidays) on thesvens@22seven.com. We will use our reasonable efforts to provide support, you acknowledge that we may not be able to resolve every issue or problem and your use of the Service Channels is always subject to the provisions of these Terms.
